GEN Ai AT WORK Foundations Program Participant Agreement
1. Introduction
This Participant Agreement (“Agreement”) sets out the terms and conditions of your participation in the Gen AI at Work Foundations Program (“Program”) provided by BRAWT Company Pty Ltd (“BRAWT”). By signing this Agreement, you confirm that you have read, understood, and agree to abide by its terms.
2. Program Participation
As a participant in the Program, you acknowledge and agree to:
Active Engagement and Attendance:
Attend all scheduled training sessions, actively participate in discussions, complete all assignments, and strive to develop a foundational understanding of Generative AI and its practical applications. If you are unable to attend a scheduled session, you will promptly notify BRAWT and make every reasonable effort to catch up on missed content.Skill Development:
Pursue ongoing improvement of prompt engineering skills and apply your acquired knowledge to create tailored, AI-driven workflows or processes that enhance the efficiency and quality of your professional responsibilities.Role Plan Creation:
Develop and maintain Gen AI Role Plans designed to optimise tasks relevant to your role. You agree to apply the knowledge gained in a manner consistent with your employer’s policies, ethical standards, and all applicable laws and regulations.Professional Conduct and Psychological Safety:
Interact with all participants, trainers, and staff in a manner that is respectful, courteous, inclusive, and conducive to a psychologically safe environment. You agree to:- Encourage open communication, constructive feedback, and the sharing of diverse perspectives.
- Refrain from any behaviour that may be intimidating, disrespectful, discriminatory, or harmful to others.
- Comply with all directions provided by BRAWT trainers and staff regarding respectful participation, appropriate language, and cooperative conduct.
Collaborative Leadership:
Where appropriate, share your insights and skills with colleagues by leading internal training sessions, supporting peer learning, and contributing to a constructive team dynamic. Any such leadership or training is undertaken voluntarily and in alignment with your employer’s guidelines and BRAWT’s ethical standards.
3. Confidentiality and Non-Disclosure
3.1 Confidential Information
You acknowledge that during the Program, you may gain access to confidential and proprietary information, including but not limited to:
- Program methodologies, strategies, training materials, and AI tools developed by BRAWT.
- Organisation-specific data, processes, and operational insights.
- Personal information of other participants or employees.
3.2 Non-Disclosure Obligations
You agree to:
- Not disclose, reproduce, distribute, or share any Confidential Information with any third party without BRAWT’s prior written consent.
- Use the Confidential Information solely for purposes related to your participation in the Program.
- Protect Confidential Information with the same degree of care used to safeguard your own confidential information.
- Promptly notify BRAWT of any unauthorised disclosure or misuse of Confidential Information.
4. Intellectual Property Rights
4.1 Ownership
All intellectual property, including training materials, resources, and any derivative works provided during the Program, remains the exclusive property of BRAWT.
4.2 Limited Licence
You are granted a non-exclusive, non-transferable licence to use the Program materials for your own professional development until 30 June 2025.
4.3 Restrictions
- You must not use, sell, license, or distribute the Program materials or any derivatives outside the scope of this Agreement.
- You must not use the Program materials to train or teach individuals outside the authorised context without BRAWT’s prior written consent.
- You must not reverse-engineer, decompile, or disassemble any software or tools provided during the Program.
5. Non-Compete and Non-Solicitation
5.1 Non-Compete
During your participation in the Program and for one (1) year thereafter, you agree not to engage in activities that compete with BRAWT’s Gen AI at Work offerings, including providing similar training or consultancy services.
5.2 Non-Solicitation
You agree not to solicit or attempt to solicit any clients or employees of BRAWT in a manner that could harm BRAWT’s business interests for the duration of the Program and for one (1) year thereafter.
6. Privacy and Data Use
6.1 Collection of Personal Information
BRAWT may collect personal information from you as necessary for the administration of the Program, including your name, contact details, job title, and any information you provide during training sessions.
6.2 Use of Personal Information
- Your personal information will be used solely for Program-related purposes, such as scheduling sessions, providing materials, and monitoring your progress.
- BRAWT will not share your personal information with third parties without your explicit consent, except as required by law.
6.3 Data Protection
- BRAWT is committed to protecting your privacy in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs).
- All personal information will be stored securely and accessed only by authorised personnel.
- BRAWT’s policies regarding privacy and data protection are available upon request.
6.4 Participant Obligations
- You agree to handle any personal information of other participants or employees confidentially and in compliance with BRAWT’s privacy policies.
- You must not disclose any personal information obtained during the Program to unauthorised individuals or entities.
7. Compliance with Laws and Policies
You agree to comply with all applicable laws, regulations, and BRAWT policies, including those related to data protection, privacy, workplace conduct, and the ethical use of AI tools. You undertake to use AI tools responsibly, ethically, and only for lawful purposes. Any misuse, unlawful activity, or breach of this Agreement may result in termination of your participation and potential legal consequences.
8. Code of Conduct
You are expected to maintain a high standard of professionalism, respect, and integrity throughout the Program, ensuring that your conduct supports a positive learning environment and adheres to all of the provisions set out in Section 2.
9. Termination
- By BRAWT: BRAWT reserves the right to terminate your participation in the Program if you breach this Agreement or BRAWT’s policies. Termination may occur at BRAWT’s sole discretion and without liability on BRAWT’s part.
- Consequences: Upon termination, you must cease using all Program materials and return or securely destroy any confidential information in your possession, including any copies or derivatives.
10. Return of Materials
Upon request or upon termination of your participation, you agree to promptly return or destroy all Confidential Information and Program materials in your possession, including any copies or derivatives.
11. Indemnity and Disclaimer
11.1 Indemnity
You agree to indemnify, defend, and hold harmless BRAWT, its officers, employees, and agents, from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use or misuse of the training, knowledge, or skills acquired during the Program.
- Any products, processes, workflows, or services you develop or implement based on or influenced by the Program materials.
- Your failure to comply with this Agreement or any applicable laws, regulations, or policies, including those relating to professional conduct and psychological safety.
11.2 Disclaimer of AI Performance
You acknowledge that the AI tools and technologies discussed, demonstrated, or referenced during the Program (including, but not limited to, ChatGPT, Copilot, or any other third-party AI systems) are provided “as is.” BRAWT makes no warranties, express or implied, as to the accuracy, reliability, performance, or suitability of these AI tools for any particular purpose. BRAWT shall not be held liable for any direct or indirect loss or damage resulting from the use, misuse, or inability to use these AI technologies, nor for any decisions or actions you take based on their outputs.
11.3 Responsibility for Outcomes
You are solely responsible for assessing the suitability, safety, and legality of applying any learned methodologies, strategies, or tools in your professional context. BRAWT will not be liable for any negative outcomes, including but not limited to decreased performance, reputational damage, legal issues, or other liabilities resulting from how you implement or utilise the information, skills, or tools provided in the Program.
12. Limitation of Liability
- BRAWT shall not be liable for any indirect, incidental, or consequential damages arising from your participation in the Program.
- BRAWT’s total liability, whether in contract, tort, or otherwise, will not exceed the amount (if any) paid for your participation in the Program.
13. Governing Law
This Agreement is governed by and construed in accordance with the laws of Australia. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Australian courts.
14. Entire Agreement
This Agreement constitutes the entire understanding between you and BRAWT regarding your participation in the Program and supersedes all prior agreements, representations, or understandings.
15. Severability
If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.
16. Amendments
Any amendments to this Agreement must be in writing and signed by both you and an authorised representative of BRAWT.
17. Acknowledgement
By enrolling in the GEN Ai AT WORK program, you acknowledge that you have read, understood, and agree to be bound by its terms, including those relating to confidentiality, intellectual property, indemnity, disclaimers, privacy, data use, professional conduct, and your responsibilities as a participant. You are encouraged to retain a copy of this Agreement for your records and to seek clarification from BRAWT should you have any questions.
