Participant Agreement

1 Introduction

This Participant Agreement (“Agreement”) outlines the terms and conditions of your participation in the Gen AI At Work Foundations Program and Train-the-Trainer Initiative (“Program”) provided by BRAWT Company Pty Ltd (“BRAWT”) to G’Day Group (“Company”). By signing this Agreement, you acknowledge that you have read, understood, and agree to comply with its terms.

2. Program Participation

As a participant and designated AI Champion in the Program, you will:

  • Training Attendance: Attend all scheduled training sessions to gain foundational knowledge of Generative AI and its applications within your role.
  • Skill Development: Develop prompt engineering skills and create personalised Gen AI-driven workflows.
  • Role Plan Creation: Build Gen AI Role Plans tailored to optimise tasks within your team.
  • Leadership Potential: Potentially lead internal training sessions and learning sets to guide your colleagues in adopting AI tools.

3. Confidentiality and Non-Disclosure

3.1. Confidential Information

You acknowledge that during the Program, you will have access to confidential and proprietary information, including but not limited to:

  • Program methodologies, strategies, training materials, and AI tools developed by BRAWT.
  • Company-specific data, processes, and operational insights.
  • Personal information of other participants or employees.

3.2. Non-Disclosure Obligations

You agree to:

  • Not disclose, reproduce, distribute, or share any Confidential Information with any third party outside of G’Day Group without prior written consent from BRAWT.
  • Use the Confidential Information solely for purposes related to your role within G’Day Group.
  • Protect Confidential Information with the same degree of care as you would your own confidential information.
  • Promptly notify BRAWT of any unauthorised disclosure or misuse of Confidential Information.

4. Intellectual Property Rights

4.1. Ownership

All intellectual property, including training materials, resources, and any derivatives provided during the Program, remains the exclusive property of BRAWT.

4.2. Limited Licence

You are granted a non-exclusive, non-transferable licence to use the Program materials internally within G’Day Group for the duration of your employment and the licence period ending on 30 June 2025.

4.3. Restrictions

  • You may not use, sell, licence, or distribute the Program materials or any derivatives thereof outside of G’Day Group.
  • You are prohibited from using the Program materials to train or teach individuals outside of G’Day Group without prior written consent from BRAWT.
  • You must not reverse-engineer, decompile, or disassemble any software or tools provided during the Program.

5. Non-Compete and Non-Solicitation

5.1. Non-Compete Clause

During your participation in the Program and for a period of one (1) year thereafter, you agree not to engage in any activities that compete with BRAWT’s Gen AI At Work Program, including offering similar training or consulting services.

 

5.2. Non-Solicitation Clause

You agree not to solicit or attempt to solicit any clients or employees of BRAWT for purposes that could harm BRAWT’s business interests during your participation in the Program and for one (1) year thereafter.

6. Privacy and Data Use 

6.1. Collection of Personal Information

  • BRAWT may collect personal information from you necessary for the administration of the Program, including your name, contact details, job title, and any other information you provide during training sessions.

6.2. Use of Personal Information

  • Your personal information will be used solely for purposes related to the Program, such as scheduling training sessions, providing training materials, and tracking your progress.
  • BRAWT will not share your personal information with third parties without your explicit consent, except as required by law.

6.3. Data Protection

  • BRAWT is committed to protecting your privacy in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs).
  • All personal information will be stored securely and accessed only by authorised personnel.
  • BRAWT’s company policies regarding privacy and data protection can be found at BRAWT Company Policies.

6.4. Participant Obligations

  • You agree to handle any personal information of other participants or employees with confidentiality and in compliance with the Company’s privacy policies.
  • You will not disclose any personal information obtained during the Program to unauthorised individuals or entities.

7. Compliance with Company Policies and Laws

  • You agree to adhere to all G’Day Group policies, including those related to data protection, privacy, workplace conduct, and the ethical use of AI tools.
  • You acknowledge that all AI tools and data usage must comply with the Privacy Act 1988 (Cth), the Australian Privacy Principles (APPs), and BRAWT’s company policies.
  • You agree to use AI tools responsibly, ensuring compliance with ethical AI standards and avoiding misuse that could harm individuals or the Company.

8. Code of Conduct

  • Professional Behaviour: You are expected to maintain a high standard of professionalism during the Program.
  • Respectful Interaction: Treat all participants, trainers, and staff with respect and courtesy.
  • Integrity: Act with honesty and integrity in all activities related to the Program.

9. Termination

  • By the Company: G’Day Group reserves the right to terminate your participation in the Program for any breach of this Agreement or Company policies.
  • By BRAWT: BRAWT may revoke your access to the Program materials and training in the event of a breach of confidentiality or intellectual property rights.
  • Consequences: Upon termination, you must cease using all Program materials and return or destroy any confidential information in your possession.

10. Return of Materials

Upon request or termination of your employment, you agree to promptly return or destroy all Confidential Information and Program materials in your possession, including any copies or derivatives.

11. Limitation of Liability

  • BRAWT shall not be liable for any indirect, incidental, or consequential damages arising out of your participation in the Program.
  • The total liability of BRAWT, whether in contract, tort, or otherwise, shall not exceed the amount paid by G’Day Group for your participation in the Program.

12. Governing Law

This Agreement is governed by and construed in accordance with the laws of Australia. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Australian courts.

13. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding your participation in the Program and supersedes all prior agreements, understandings, or representations.

14. Severability

If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

15. Amendments

Any amendments to this Agreement must be made in writing and signed by both you and an authorised representative of G’Day Group and BRAWT.

16. Acknowledgement

By clicking the button below, you acknowledge that you have read and understood this Agreement, including all clauses related to confidentiality, intellectual property, privacy, and data use, and agree to be bound by its terms and conditions.
